1. Acceptance of Terms

By creating an account, accessing, or using any part of the Semantic Workshop Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Semantic Workshop. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Your continued use of semanticworkshop.com after any changes indicates your acceptance of the modified Terms.

2. Description of Service

Semantic Workshop provides tools, documentation, and resources to help developers and small teams test EmbeddingGemma 2, build practical retrieval systems, and understand what works under real-world hardware, time, privacy, and budget constraints. Our Service includes access to testing environments, code examples, performance benchmarks, and educational materials related to semantic search and embedding technologies.

The Service is provided on an "as-is" and "as-available" basis. We may modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts and Responsibilities

To access certain features of Semantic Workshop, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. Semantic Workshop will not be liable for any loss or damage arising from your failure to protect your account information.

You may not use another person's account without permission, create multiple accounts for abusive purposes, or transfer your account to another party without our prior written consent.

By submitting User Content to semanticworkshop.com, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating and providing the Service.

You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate any third-party rights or applicable laws. You are solely responsible for your User Content and the consequences of posting or publishing it.

We reserve the right, but are not obligated, to monitor, review, or remove User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.

7. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SEMANTIC WORKSHOP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components. We do not warrant or make any representations regarding the use or the results of the use of the Service in terms of accuracy, reliability, or otherwise.

Any material downloaded or otherwise obtained through the use of the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEMANTIC WORKSHOP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service

  • Any conduct or content of any third party on the Service

  • Any content obtained from the Service

  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO SEMANTIC WORKSHOP, IF ANY, IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Semantic Workshop, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms

  • Your use of the Service

  • Your User Content

  • Your violation of any rights of another party, including any intellectual property rights

  • Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at the email address provided below or through account settings if available. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If you wish to terminate your account, you are solely responsible for properly canceling your account. You can cancel your account by sending an email to our support team at the contact information provided in Section 13.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Semantic Workshop operates, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in that jurisdiction, and you hereby consent to personal jurisdiction and venue therein.

You and Semantic Workshop agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both you and Semantic Workshop waive any right to a jury trial.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice by posting the updated Terms on semanticworkshop.com and updating the "Last Updated" date at the top of these Terms. We may also notify you via email or through the Service.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service. We encourage you to review these Terms periodically to stay informed of any updates.
